Commercial Due Diligence
Maddox typically provides commercial due diligence
assistance which focuses on key drivers of value, major areas of risk and whether
a target business is likely to attain the sales and margins projected by management.
A hallmark of our services is linking external factors such as markets, competition,
regulatory trends, etc., with quantified impacts on forecasts of company level
financials. In addition, our open book style allows us to work closely with clients
to develop financial engineering options, and think through value creation, synergy
and potential exit. Our analysis is readily 'flexed' to allow scenarios and sensitivities,
as well as key iterations, and contains an explicit audit trail.
Maddox is well placed to provide due diligence support:
- Our company structure and resourcefulness lends
itself to hiring or 'cherry picking' individuals who add specific value and
insight in key areas
- Work interactively with management to ensure
we create the optimal product
- All of our results and findings are represented
at the relevant financial level - be it on the P&L, CF and B/S through to earning per share and covenants where required
Maddox has broad experience in this area. We cover
the gamut from acquisition strategy and candidate screening, as well as classic, stand-alone ‘what
is this business worth’ due-diligence, through to tying investment
decisions with a purchaser’s investment rationale. This may include cost synergies,
target gearing, different financial engineering structures, identification
and exploration of opportunities for creating value after the transaction and
exit strategies/value.
