We have significant experience in helping to evaluate and execute M&A transactions. We work across the acquisition cycle, from initial acquisition target screening, to financial valuation and assessment of synergies through commercial due diligence. When transactions have been completed, we often continue to advise the purchaser on post-transaction integration and provide implementation assistance. We also assist private equity firms develop exit strategies and support companies through the sale process. Maddox has participated in transactions of various sizes, mainly in the £100m to £500m range, and several in excess of £1 billion. Transactions have included trade / strategic sales, financial purchases and management buy-outs (MBOs). Many of these transactions have been in the transportation sector.
Commercial Due Diligence
We are experts in undertaking independent commercial due diligence, to assist private equity houses and other investors to execute deals. We have worked with a wide range of financial institutions, including Goldman Sachs, JP Morgan (Private Equity), Rothschild, RBS Structured Finance, Macquarie, Babcock & Brown, PPM Capital, Electra Partners and Exponent Private Equity.
Maddox Consulting has extensive experience in assisting clients prepare bids for rail operating concessions, privatisations and franchise extensions in the UK, Europe and around the world. We have also prepared bids to Governments on behalf of rolling stock designers, manufacturers, maintainers and funders (including Siemens, Bombardier, Angel Trains, Babcock & Brown) for long-term build & maintain contracts (i.e., 30 years plus). In addition, we have prepared and helped execute such bids and transactions in the aviation and maritime transport sectors, and project finance based bids for toll roads, bridges, light rail and container ports.
When we are supporting a bid, we typically provide assistance in areas such as demand and revenue forecasting, financial modelling and analysis, commercial and financial risk assessment and bid strategy (vis–à-vis the Government and competing bidders). We are experts in the RADAR format, favoured by the UK Government for the submission of tenders, and have assisted many companies structure and write their bids in the best way to meet these technical requirements.
